Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the AgentSmithy platform and integrations ("Service") provided by Agent Smithy ("Company", "we", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the Service.

These terms apply in addition to the terms of any third-party platforms you connect (Atlassian, GitHub, Slack, etc.).

2. Description of Service

AgentSmithy is a product context layer for AI-assisted software development. The Service integrates with multiple platforms to:

• Index and analyze project-related information from connected sources
• Provide contextual insights for development tasks
• Bridge the gap between project management, code, communication, and design tools
• Enable AI assistants to understand your product context

3. Platform Integrations

By connecting integrations, you authorize us to access data from various third-party platforms, including but not limited to:

• Project Management — tasks, issues, workflows, documentation
• Source Control — repositories, commits, pull requests, code reviews
• Communication — channel messages and discussions you grant access to
• Design — files, components, comments

Each integration is subject to the respective platform's terms of service. You represent that you have the authority to grant these permissions for your organization's accounts.

We continuously add new integrations. Permissions are requested during the connection process.

4. User Responsibilities

• You must have appropriate permissions to connect each platform integration
• You are responsible for ensuring your use complies with your organization's policies
• You must not use the Service to process data you do not have rights to access
• You are responsible for managing access and permissions within your organization
• You must ensure connected integrations comply with your data governance requirements

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Circumvent any security measures or access controls
• Use the Service to store or transmit malicious code
• Interfere with or disrupt the Service or related infrastructure
• Resell, sublicense, or redistribute the Service

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Agent Smithy and are protected by intellectual property laws.

You retain all rights to your data from connected platforms. We claim no ownership over your content. By using the Service, you grant us a limited license to process your data solely for providing the service.

7. Subscription and Payment

The Service may be offered as free or paid subscription:

• For Atlassian integrations: billed through Atlassian Marketplace
• For other integrations: billed directly or through respective marketplaces
• Subscription fees are based on usage tier and connected integrations
• Refunds are handled according to applicable marketplace policies

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service depends on:

• Availability of connected third-party platforms
• Our infrastructure providers
• Internet connectivity

We are not liable for downtime caused by factors outside our control, including third-party platform outages.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR MEET YOUR SPECIFIC REQUIREMENTS. USE OF THE SERVICE IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT SMITHY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

• You may terminate by disconnecting integrations and closing your account
• We may suspend or terminate access for violation of these Terms
• Upon termination, your data will be deleted as described in our Privacy Policy

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or the Atlassian Marketplace. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
